ARTICLE I
Purpose

Section I.1 The purpose of this association shall be (a) to foster brotherhood, fellowship and understanding among members and their families, (b) to engage in educational, social and cultural activities, and (c) in general, to perform such acts and undertake such activities not otherwise prohibited by law and designed to aid members socially and culturally.

Section I.2The association shall be non-sectarian, non-political, non-subersive and nonprofit organization.

ARTICLE II
Name and Office

Section II.1The name of this association shall be "THE SAN ANTONIANS".

Section II.2The principal office of the association shall be at 9866 Avenger Ct., San Diego, CA 92126.

ARTICLE III
Members
Section III.1Membership. Regular membership shall be open to all former residents of San Antonio, Zambales, Philippines who are eighteen (18) years of age or over, and who are of good moral character. Spouse and children seventeen (17) years of age or under are automatically designated as members. Applicants for membership are considered admitted upon payment of the membership fees set by the association. Honorary membership can be extended to non-resident with paid membership.

ARTICLE IV
Board of Directors

Section IV.1 The government and management of the association is entrusted to the Board of Directors composed of eleven (11) member elected.

Section IV.2 The Board of Directors shall have a Chairperson who shall be chosen among themselves immediately after their appointments.

Section IV.3 The Board of Directors shall exercise its advisory powers and supervise the properties and assets of the association.

ARTICLE V
Officers

Section V.1 Officers. The officers of the association shall be a President, a Vice-President, and Executive Secretary, a Corresponding Secretary, a Treasurer, an Assistant Treasurer, two (2) Auditors, three (3) Business Managers, two (2) Public Relations Officers, and three (3) Seargent at Arms.

Section V.2 Election and Term of Officers. Election of officers of the association shall be held on the annual picnic normally the month of July. The term of office of elected and appointed officers shall begin upon taking oath of office.

Section V.3Removal. Any officer elected or appointed may be removed by the majority vote of the Board of Directors whenever in its judgment the best interests of the association would be served thereby.

Section V.4Vacancies. A Vacancy in any office because of death, resignation, removal, disqualification or other cause, shall be filled by the Board of Directors and the appointed officer shall serve the unexpired term of his/her predecessor.

ARTICLE VI
Duties and Responsibilities of Officers

Section VI.1The president shall have the following duties and responsibilities:
(a)Preside on all meetings of the association
(b)Supervise generally over the business affairs of the association
(c)Signs and approves all documents, contracts and all related written materials for the association
(d)Co-signs checks with the treasurer relative to the disbursement of funds of the association
(e)Implement and execute all the rules and regulations of the association as well as the policies and decisions of the Board of Directors
(f)Represent the association in all occasions and affairs where representation is necessary
(g)Perform all duties incident to the office of the President and such other duties as may be prescribed by the Board of Directors from time to time
(h)May delegate any or some of the above mentioned duties and responsibilities to any officer of the association

Section VI.2The Vice-President shall have the following duties and responsibilities:
(a)Perform the duties and responsibilities of the President in case the President is absent or otherwise inability or refusal to act.
(b) Be the overall chairperson of Standing Committees
(c)Assist the President and perform such other duties as from time to time mabybe assigned to him/her be the President or by the Board of Directors

Section VI.3The Executive Secretary shall have the following duties and responsibilities:
(a)Keep minutes of all meetings of the association
(b)Be a custodian of all records of the association
(c)Give notices to members as required by the provisions of these by-laws
(d)Keep a register of the post office address of each member
(e)Perform other duties as from time to time maybe assigned to him/her be the President or by the Board of Directors

Section VI.4The Corresponding Secretary shall have the following duties and responsibilities:
(a)He/She provide officers and members information concerning the time and the place of regular meeting
(b)He/She furnishes information to officers and members regarding items to be discussed in regular meeting
(c)He/She must be ready to assume temporarily the duties of the Executive Secretary in case of absence or must be prepared, in the event of resignation or permanent incapacity of the Executive Secretary
(d)He/She will be responsible to assist the Treasurer to collect membership dues

Section VI.5The Treasurer shall have the following duties and responsibilities:
(a)Be the custodian of all properties and funds of the association
(b)Deposit the association's monies in a bank or financial institution designated by the President with the concurrence of the Board of Directors and keep accurate records of all receipts and disbursements
(c)Co-signs check other negotiable instruments concerning withdrawals and disbursement of funds of the association
(d)Submit financial reports and accounting of the association’s funds in the annual meetings of the association or the Board of directors when required
(e)Perform such other duties as from time to time maybe assigned to him/her by the President or the Board of Directors

Section VI.6Assistant Treasurer will assist the treasurer.

Section VI.7The Auditors shall have the following duties and responsibilities:
(a)Examine the business and financial records of the association on a semi-annual and submit the report to the President or the Board of Directors

Section VI.8The Business Managers shall have the following duties and responsibilities:
(a)Plans, organizes and manages all proposed activities of the association
(b)Canvass available facilities such as halls, banquet rooms, equipments and materials
(c)Maintain liaison with the Treasurer as the to the availability of funds
(d)Perform such duties as from time to time maybe assigned to him/her by the President or the Board of Directors

Section VI.9Press Relations Officers shall have the following duties and responsibilities:
(a)Advertise all activities of the association
(b)Conduct all Public Relation activities when instruction by the President
(c)Perform such other duties as from time to time maybe assigned to him/her by the President or the Board of Directors

Section VI.10The Seargent At Arms shall have the following duties and responsibilities:
(a)Maintain order during meeting and other activities of the association
(b)Perform such other duties as from time to time maybe assigned to him/her by the President or the Board of Directors

ARTICLE VII
Meetings

Section VII.1Meetings of the Association shall be held as needed.

Section VII.2Special meetings maybe called by the President at his/her discretion

Section VII.3Annual General Meetings of the association will be during annual picnic in a designated place

Section VII.4Members shall be notified prior to the date of the scheduled meetings.

Section VII.5To constitute a quorum in all aforementioned meetings, a majority of the officers and at least thirteen (13) members shall be present. To pass and act, a majority of those present or one half plus shall suffice.

Section VII.6The order of business shall be at the discretion of the presiding officer.

ARTICLE VIII
Assets and Finances

Section VIII.1The association may acquire and hold personal or other properties necessary for the administration of its affairs.

Section VIII.2Working funds of the association shall be derived from (a) Membership fees, (b) voluntary contributions from members, (c) donations and contributions from other legal sources, and (d) proceeds from social activities.

ARTICLE IX
Membership Fees
Section IX.1Members shall pay a $5.00 fee every year.

ARTICLE X
Amendments
Section X.1This constitution and By-Laws maybe amended by a majority vote of all the members present at a regular or special meeting called for the purpose.

ARTICLE XI
Dissolution of the Association

Section XI.1The association dissolved by two third (2/3) vote of the members present. When the association is dissolved, the disposition of properties and funds shall be decided upon at a special meeting called for the purpose.

ARTICLE XII
Effectivity

Section XII.1The Constitution and By-Laws shall take effect upon its adoption and ratification by the general membership
